  • From approximately May 2021 to August 2023, the Respondents offered and sold approximately $3.3 million of cryptocurrency mining packages, which included both hardware and services provided by the Respondents.
  • These cryptocurrency mining packages were unregistered, non-exempt securities.
  • The Respondents misrepresented or failed to disclose several pieces of material information, such as their client history and a pending change to the Ethereum blockchain which had a substantial impact on cryptocurrency mining.

The Respondents have a right to request a hearing on the Statement of Charges.
